This contract remains in force indefinitely unless terminated by either party, with Commercial clients requiring a 90-day notice period and Domestic clients a 30-day notice period, provided in writing. Failure to give proper notice by the Client results in liability to compensate the Company in lieu of the specified notice period.
Payments stipulated in this contract should be settled based on EECF Ltd's official invoices. Payment must be completed by 17:00 on the due date; otherwise, a standard late fee of £35 will be imposed. An additional charge of 3% per day will be applied until the outstanding balance is fully cleared. Failure to pay any installment of the contract price by the due date grants the Company the right to suspend work and demand payment for all work completed up to that point. If the Client opts to terminate the contract following this action, they are obliged to compensate the Company for damages equivalent to [90 days for Commercial clients] and [30 days for Domestic clients] of cleaning invoices.
Following the cessation of EECF services, the Client is required to refrain from soliciting the services of any individual who has been a subcontractor or employee of EECF Ltd during the contractual term for a period of twelve (12) months. Failure to comply will incur a finder's fee of £5000.00 per person.
In the absence of written complaints received by EECF Ltd, it is assumed that the services outlined in the specification have been satisfactorily provided to the Client. Any complaints must be reported within 48 hours of the occurrence of the deficiency or non-attendance of the Company's subcontractors. Upon receipt of a complaint, the Company will promptly investigate and rectify the issue at no cost to the Client.
The Company is not liable for failing to fulfill contractual obligations due to circumstances beyond its control, such as fire, explosion, accidents, mechanical breakdowns, material supply interruptions, epidemics, or industrial disputes. Following such incidents, EECF Ltd agrees to resume work under the initial agreement terms.
The Company commits to maintaining insurance coverage for the specific services provided under Public Policies and Employers' Liability.
EECF reserves the right to decline cleaning items deemed high-risk for damage or unsafe.
For End of Tenancy or one-off services, the cleaning is conducted according to the agreed instructions and quotation details. EECF Ltd is not accountable if the work does not meet third-party standards. The Company may document the work with before and after pictures and provide a checklist upon request.
In case of damage or loss to the Client's premises or belongings, EECF agrees to compensate the Client. A written claim, supported by evidence and cost details, must be submitted to the Company within 48 hours. EECF Ltd should be given the opportunity to resolve the claim amicably in the first instance.
The Company is not liable for damage to electrical fixtures, sash cords, alarm fittings, or pre-existing damaged glass unless agreed upon in writing.
The Client must ensure that electrical appliances with high voltages are switched off or secured during cleaning to ensure safety. The Company adheres to HSE Regulations regarding best practices.
The Client is responsible for providing necessary amenities such as light, heating, and hot water, as well as safe accommodation for equipment and materials on the premises. Any loss or damage to equipment or materials while on the premises will be charged to the Client.
If the Company is impeded by the Client, its employees, or agents from carrying out its duties, it will be considered as fulfilling its obligations, and the current period's dues shall be payable.
The Company's responsibilities are limited to the specified tasks in the agreement; verbal agreements are not binding. Any changes to these conditions must be communicated via email or letter to EECF Ltd's Registered Head Office, signed by an authorized officer.
EECF Ltd retains the right to transfer the rights and obligations of this contract to another party. In the event of such an assignment, "The Company" refers to EECF Ltd's assignee. EECF Ltd is not liable for the Contractor's debts under any circumstances.
This agreement is governed by the laws of England & Wales, and both parties submit to the non-exclusive jurisdiction of the High Court in London.
Holiday Period (domestic clients only): EECF Ltd permits one holiday period within 12 months, not exceeding 14 days, without charge to the customer if a minimum 30-day notice is provided. Any other cancellations will incur standard charges. Emergency cancellations will be subject to charges at the Company's discretion.
